We offer you the complete formation of a Dutch company, including:

- Tax advice on setting up the B.V. and explanations about the use of the B.V. (Managing director wages, dividends from the B.V., advantages and disadvantages of B.V., B.V. taxes, taxes Netherlands e.g. VAT in Holland etc.) through a tax office that is located in our building with which we work closely.

- Partnership agreement of a B.V.

The founding act or the shareholders' agreement of a B.V. is usually very extensive. Shareholders can be natural persons as well as legal entities. The B.V. shareholder agreement must contain, among other things, the following information:

- The name of the B.V.

- The shareholders

- The company goal: It is advisable to carry out the activities of the B.V. explain as comprehensively as possible. This saves follow-up costs.

- The company headquarters (address) within the Netherlands

- The share capital can be contributed in the form of capital or assets.

Company registration in the Netherlands in 5 easy steps

1. Preparation

Any natural or legal person can use the service to set up a company.

2. Fill out the “Client Information” document

Fill out the document completely and enter the company names and directors/shareholders.

Enter the company address (company headquarters) or special requests (if any).

3. Payment

Choose your payment method (We accept payments by credit/debit card, PayPal, Amazon Pay or bank transfer). You can choose on the website.

4. Notary appointment

Arrive in person to the notary appointment and complete all formalities at the notary. The notary forwards the documents to the central company register.

5. Delivery

You will receive copies of the necessary documents including: Articles of Incorporation, Company Registration, Certificate of Incorporation and Articles of Association, etc. Then your new company is ready to do business in a specific jurisdiction!

Documents required to start a business:

If the partners are natural persons, they need:

- Presentation of an identification document (citizen card, ID card, passport or residence permit)

- Color copy of the passport

- Copy of a document confirming the address of residence (residential registration certificate, electricity bill, gas bill, not older than 2 months)

- Document “Client Information”

If the partners are general partnerships, the following must be submitted:

- the minutes of the deliberations of the general meeting, with which the legal representatives are given the authority to found the association

- Identification documents of the legal representatives of the company you want to set up (citizen card, ID card, passport or residence permit)

- Copy of a document confirming the address of residence (residential registration certificate, electricity bill, gas bill, not older than 2 months)

- the deed or updated statutes or statutes of the collective bodies.

- The company documents must be notarized and translated into Dutch or English by an officially sworn translator

Taxation of a B.V.

For the profits of a B.V. Corporation tax (“vennootschapsbelasting”) is due. The Dutch corporate tax is lower than its German counterpart. The website of the Belastingdienst, the Dutch tax authority, provides an overview of the tax rates. Winnings up to and including 200,000 euros are currently taxed at 19 percent. A tax rate of 25.80 percent applies to higher profits. Very attractive for companies that want to venture into Holland.
