You know what the name of the company should be, the purpose of the company has been determined, the share denomination or ordinary shares have been determined, the company has a domicile, then you can start:
1. Founder
To found a company, at least one founder is required; the founder(s) can be a natural person or a legal entity.
2. Share or share capital
The share capital or share capital of the company to be founded must be paid into a blocked account at a Swiss bank. For a stock corporation with a minimum capital of CHF 100,000, at least CHF 50,000 must be paid in, for a GmbH at least CHF 20,000 must be paid in.
After the company has been registered in the commercial register, the company's capital is again fully available to it.
3. Notarization
The founding act of the company is completed with a public notarization. In this public document, the founder(s) declare that they will establish a stock corporation or a limited liability company, establish the statutes and appoint the company's bodies.
4. Registration
With the certified certificate of incorporation, the company is registered for registration with the commercial register office of the future headquarters. Depending on the canton, the company is usually registered within 5 – 10 days.
